1. Agreement to Terms

By accessing or using Vinelog ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Vinelog is operated by Vinelog, LLC ("we," "us," or "our"). We reserve the right to update these terms at any time. Continued use of the Service after changes constitutes acceptance of the updated terms.

2. Eligibility

You must be at least 21 years of age to use Vinelog. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or harmful activity.

• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems

5. User Content

You retain ownership of content you post to Vinelog, including reviews, tasting notes, photos, and other contributions ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.

You represent that you own or have the necessary rights to post your User Content and that it does not infringe on the rights of others.

We reserve the right to remove User Content that violates these terms or is otherwise objectionable, at our sole discretion.

6. Wine Deals and Third-Party Links

Vinelog aggregates wine deals from third-party retailers. We do not sell wine directly. Purchases are made through the respective retailers, and their terms and conditions apply.

We make reasonable efforts to ensure deal information is accurate, but we do not guarantee availability, pricing, or the quality of products offered by third parties. We are not responsible for transactions conducted with third-party retailers.

Some links on Vinelog may be affiliate links. We may receive compensation if you make purchases through these links, at no additional cost to you.

7. Payment Processing

Payment processing services for purchases made through Vinelog are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement").

By agreeing to these terms or continuing to use Vinelog, you agree to be bound by the Stripe Services Agreement. You agree to provide accurate and complete information about you and your business, and you authorize us to share this information and transaction data with Stripe.

8. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Vinelog, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

"Vinelog" and our logo are trademarks of Vinelog, LLC. You may not use our trademarks without prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Wine information, ratings, and reviews on Vinelog represent opinions and should not be considered professional advice. Always drink responsibly.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINELOG, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Vinelog, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these terms.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time through your account settings or by contacting us.

13. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Santa Clara County, California.
